Our Disputes and Investigations practice is comprised of lawyers who act in many of the most significant disputes, corporate crises and investigations in the Irish market. Within that wider group, our Regulatory Investigations lawyers have specialist experience in advising financial institutions on enforcement investigations, related litigation and the management of regulatory risk. As part of this team you will work closely with market-leading experts in helping financial services clients navigate business-critical regulatory issues and disputes.

Regulatory enforcement is a fast-growing and dynamic area of legal practice. As a member of our Regulatory Investigations team you will draw on a varied skill-set to provide our financial services clients with excellent legal support and innovative solutions across a range of contentious engagements. You will develop your skills as a litigation / investigations lawyer while working closely with colleagues in our Financial Regulatory Group to provide a market-leading 'joined up' approach to advising on regulatory risks, supervisory engagements, enforcement and associated litigation. The structure of our practice also means that you will have the opportunity to work with other lawyers in our wider Disputes and Investigations Group on a range of disputes and investigations by other regulators such as the Data Protection Commissioner and CCPC and white collar crime mandates.

We would like to hear from any interested solicitors, whether practicing locally or considering returning to Ireland, with experience/interest gained in some or all of the following areas:

Skills, Experience And Characteristics Required

The ideal candidate will have a minimum of 2 + years relevant PQE within a large, medium or boutique corporate law firm.

  • Expertise in regulatory enforcement is desirable (including by the Central Bank of Ireland, Financial Conduct Authority, Data Protection Commissioner or the CCPC).
  • Experience in conducting or responding to Central Bank of Ireland / Financial Conduct Authority investigations is an advantage
  • We would also value experience in handling civil litigation claims, judicial reviews and other appeals or adjudications (such as financial services and pensions ombudsman complaints and statutory appeals), particularly in the financial services sector
  • You will strive for excellence in all aspects of your profession
  • You will thrive in a collaborative team, focused on excellent communication
  • You will be open to new ways of meeting client needs including leveraging technology and innovation resources within A&L Goodbody

The Opportunity

An opportunity has arisen for a Legal Counsel position on the Glanbia Group Legal team based in Citywest, Dublin or Kilkenny City reporting to the General Counsel. You will work closely with the business to reduce legal risks and improve commercial position through negotiation of legal agreements, managing legal disputes and advising on compliance with legal requirements.

This is a permanent opportunity reporting into the General Counsel.

Responsibilities
  • Provide strategic legal advice and commercial guidance on a broad range of legal and contractual issues in a dynamic international environment
  • Review, draft and negotiate strategic legal agreements (including for the manufacture, development, supply, and distribution of products, vendor contracts for procurement and outsourcing of services and IT solutions). Advise on enforcement of contractual terms around termination, exclusivity, restrictive covenants and potential warranty / indemnity claims
  • Identify risks and provide practical legal advice on a broad range of areas including data protection/privacy, intellectual property, competition law, anti-money laundering and some employment / HR related matters
  • Manage and oversee any legal disputes, litigation, working closely with external legal counsel as necessary
  • Assist in managing the Group's intellectual property portfolio, including trademarks and patents. Advise on ownership, use and potential infringement activities
  • Participate in corporate M&A work including legal due diligence, drafting and negotiating purchase contracts, advising on integration issues post completion
  • Advise on legal aspects of on-going Project Work relating to business integration, rationalisation and optimisation
  • Assist with on-going updates to Glanbia company policies and provide training to internal business units
The Skills you will bring to the team
  • Law or Business Degree with a Professional Legal Qualification (Solicitor or international equivalent)
  • 5 years PQE either in a large / mid tier firm or in-house in a multi-national business
  • Have strong drafting, negotiating and communication skills
  • Have solid experience in commercial law gained in a fast paced dynamic environment, previous experience in a multinational corporation would be an advantage
  • Commercial Litigation experience is desirable
  • Intellectual Property experience is also desirable
  • Be able to work on own initiative and be motivated to deliver the legal department's value added agenda
  • Be able to multi-task and use a systematic and analytical approach to identifying issues and problem solving with the ability to prioritise tasks effectively.

**Job Overview:**
KDP Ireland is seeking to add a lawyer to join KDP Ireland's existing legal team with experience in drafting, review and negotiating Procurement agreements within IT, Marketing, Manufacturing and R&D. This role will be based at KDP Ireland's Newbridge facility at least 3 days per week and report to the Sr Director, Legal. The role will focus primarily on supporting Keurig Dr Pepper's global Procurement functions in contract review, drafting and negotiation, and may involve other responsibilities as the business evolves. The position requires expertise in structuring, drafting and negotiating complex transactions, ensuring compliance with intellectual property requirements, data privacy regulations and cybersecurity standards, as well as knowledge of standard contractual terms with strong drafting skills and a business mindset. A willingness to flex and develop expertise in other legal areas is an advantage. This is a challenging role that requires collaboration with various functions throughout the company. This role will provide ample opportunities to learn, be challenged, and to grow professionally in a fast-paced environment.
**Position Responsibilities:**
+ Support the Procurement functions with a focus on IT, Marketing, Manufacturing and R&D in the review, drafting and negotiation of a large variety and volume of agreements;
+ Draft, review and negotiate a wide range of IT Procurement agreements (including software licensing, SaaS agreements, cloud service agreements and others);
+ Advise on technology transactions, ensuring compliance with intellectual property requirements, data privacy and cybersecurity standards;
+ Assess and mitigate risks in Procurement transactions, identifying potential liabilities and ensuring that contract terms align with corporate policies;
+ Provide strategic guidance on vendor risk management and third party integrations;
+ Advise on contractual dispute matters including breach and termination;
+ Operate independently to manage relationships with many business partners to understand their challenges and help develop solutions;
+ Maintain and promote compliance policies and procedures;
+ Follow all Keurig Dr Pepper and KDP Ireland policies and procedures;
+ Support the corporate culture of Keurig Dr Pepper the legal team.
**Requirements:**
+ Qualified lawyer with 6-8 years of experience in international corporate / commercial law at a large law firm or corporate legal department.
+ At least 3 years of legal experience in drafting, reviewing and negotiating IT Procurement agreements and other Indirect Procurement agreements either at a law firm or as part of an in-house corporate legal department.
+ Experience advising global teams and collaborating with global functions.
+ Ability to work in a fast-paced organization; manage and prioritized multiple issues and projects while being highly responsive.
+ Excellent judgment in knowing how to pro-actively communicate, escalate issues and propose solutions.
+ Analytical / Problem Solving Skills.
+ Collaborative behaviours, including ability to effectively communicate with business leaders.
+ Strong decision-making abilities and experience working within teams on large projects.
+ Ability to function at a high level where geographically separated from the larger corporate legal team.

Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity. Ability to synthesize large volumes of information and present concise, commercial conclusions and recommendations to the business.
