Job Description
KDP Ireland is seeking to add a lawyer to join KDP Ireland's existing legal team with experience in drafting, review and negotiating Procurement agreements within IT, Marketing, Manufacturing and R&D. This role will be based at KDP Ireland's Newbridge facility at least 3 days per week and report to the Sr Director, Legal. The role will focus primarily on supporting Keurig Dr Pepper's global Procurement functions in contract review, drafting and negotiation, and may involve other responsibilities as the business evolves. The position requires expertise in structuring, drafting and negotiating complex transactions, ensuring compliance with intellectual property requirements, data privacy regulations and cybersecurity standards, as well as knowledge of standard contractual terms with strong drafting skills and a business mindset. A willingness to flex and develop expertise in other legal areas is an advantage. This is a challenging role that requires collaboration with various functions throughout the company. This role will provide ample opportunities to learn, be challenged, and to grow professionally in a fast-paced environment.
**Position Responsibilities:**
+ Support the Procurement functions with a focus on IT, Marketing, Manufacturing and R&D in the review, drafting and negotiation of a large variety and volume of agreements;
+ Draft, review and negotiate a wide range of IT Procurement agreements (including software licensing, SaaS agreements, cloud service agreements and others);
+ Advise on technology transactions, ensuring compliance with intellectual property requirements, data privacy and cybersecurity standards;
+ Assess and mitigate risks in Procurement transactions, identifying potential liabilities and ensuring that contract terms align with corporate policies;
+ Provide strategic guidance on vendor risk management and third party integrations;
+ Advise on contractual dispute matters including breach and termination;
+ Operate independently to manage relationships with many business partners to understand their challenges and help develop solutions;
+ Maintain and promote compliance policies and procedures;
+ Follow all Keurig Dr Pepper and KDP Ireland policies and procedures;
+ Support the corporate culture of Keurig Dr Pepper the legal team.
**Responsibilities:**
+ Qualified lawyer with 6-8 years of experience in international corporate / commercial law at a large law firm or corporate legal department.
+ At least 3 years of legal experience in drafting, reviewing and negotiating IT Procurement agreements and other Indirect Procurement agreements either at a law firm or as part of an in-house corporate legal department.
+ Experience advising global teams and collaborating with global functions.
+ Ability to work in a fast-paced organization; manage and prioritized multiple issues and projects while being highly responsive.
+ Excellent judgment in knowing how to pro-actively communicate, escalate issues and propose solutions.
+ Analytical / Problem Solving Skills.
+ Collaborative behaviours, including ability to effectively communicate with business leaders.
+ Strong decision-making abilities and experience working within teams on large projects.
+ Ability to function at a high level where geographically separated from the larger corporate legal team.

**Essential Duties & Responsibilities:**
+ Provide strategic legal support to Stryker's manufacturing sites in EMEA Region.

+ Partner with Compliance to provide counsel on compliance matters.
+ Support maintenance of legal entities and power of attorney.

+ Address other requests for legal support and advice as required and appropriate.
**Education & Special Trainings:**
+ Law degree and admission to practice law in Ireland.
**Qualifications & Experience:**
+ Minimum of 10 years of related experience, to include in house, preferably as a member of a leadership team, and/or as part of a reputable law firm.
+ Experience in manufacturing and environmental, health and safety matters. Medical industry experience is valued.

**Team/Role Overview**

**What you'll do**
+ Provide legal guidance and expertise to the Depositary & Fiduciary and Funds Businesses throughout Europe on all product and product development matters including general advice and negotiation and drafting of transaction documentation, contracts and development of relevant templates.
+ Carry out day-to-day legal activities, serving as a subject matter expert in area of responsibility and provide senior advisory services to business partners
+ Partner with the Depositary & Fiduciary and Funds Businesses and the respective industry groups, individual regulators, ESMA and the European Commission to assess and implement new regulatory requirements.
+ Assess legal risk and review policies and procedures and processing changes to mitigate risk.
+ Advise the Depositary & Fiduciary and Funds Businesses on key legal/regulatory issues.
+ Assist the Depositary & Fiduciary and the Funds Businesses to implement new initiatives including assistance with new product approval processes and RFPs.
+ Manage the external counsel and relevant budgets.
+ Technical legal research and analysis of regulations impacting the Depositary & Fiduciary and Funds Businesses advising on significant regulatory developments.
**What we'll need from you**
+ Be educated to degree standard and will have obtained an appropriate legal qualification; and well versed in financial markets law and regulation, including in relation to EU funds law and key regulations such as UCITS/ AIFMD.
+ Specific UCITS/AIFMD regulatory and relevant transactional experience, plus significant experience in private practice and/or in-house of drafting, structuring and negotiating fund related documentation.
+ Broad knowledge of financial services legal and regulatory issues globally and detailed knowledge of fund legislation across the EU.
+ Understanding of fiduciary aspects of the rules, in particular the management of conflicts of interest.
+ Excellent technical skills (including drafting skills), and analytical ability.
+ Clear and concise written and verbal communication.
+ Ability to prioritize and adapt to meet commercial objectives in a dynamic business environment.
+ Capability to work collaboratively with others (across different functions and locations) and to proactively take individual responsibility for projects.
+ Planning and organizational skills, attention to detail.
