Division overview

Wholesale Division

The Wholesale Division within ComReg works to progress competition in electronic communications markets. Specifically, it analyses markets, introduces regulation with a view to improving levels of competition and reducing barriers to entry, and monitors compliance with market regulation.

The role and responsibilities

We are looking for a Senior Legal Advisor who will report to the Head of Legal of ComReg's Wholesale Division. The Senior Legal Advisor will work within a multi-disciplinary divisional team, which includes industry experts, engineers, economists, accountants, data analysts and lawyers.

The person will be involved in the design and enforcement of economic regulation of digital networks arising, in particular, under the European electronic communications regulatory framework and competition law; they provide legal advice in respect of a range of regulatory and public law matters, of substantive or procedural nature, manage statutory appeals and other High Court actions. They have a key role in advising on and assisting with regulatory investigations and enforcement proceedings.

The Wholesale Legal team works on a collaborative basis and the Senior Legal Advisor have the opportunity to be directly involved in a broad range of high-profile and interesting work and have direct engagement with decision makers. Personal development is promoted and supported. There are plenty of opportunities for further on the job training and education along with opportunities to lead or be involved in cross-divisional projects.

The role includes:

  • Advising on sector-specific Irish and EU legislation, statutory interpretation, administrative and public law
  • Advising on, and supporting, regulatory investigations and regulatory enforcement actions
  • Drafting and reviewing consultation and decision documents of ComReg
  • Drafting and reviewing regulatory policies, procedures and guidelines
  • Drafting and coordinating submissions on proposed national or EU legislation impacting ComReg's functions and objectives
  • Managing public law litigation including statutory appeals, judicial reviews and other High Court actions including managing external legal counsel
  • Liaising with legal and other staff in government departments, public bodies and national regulatory authorities as required

Qualifications and Experience

Essential

  • Be enrolled and admitted as a Solicitor or Barrister in the State, or equivalent;
  • Proven experience in regulatory law, competition law, EU law, public administrative law, investigations, or enforcement (prosecution or defence);
  • Proven ability to operate collaboratively at all levels within an organisation

Desirable

  • 6+ years post-qualification experience, in a law firm, as a practising barrister, as in-house counsel, as a legal advisor in the civil/public service, or in a sector-specific regulator or in a regulated sector;
  • Proven experience of regulatory enforcement or compliance management in a regulated industry including digital;
  • Experience of High Court litigation;
  • Proven experience of working within a multi-disciplinary team;

About the role

About you

About The Position
We are looking for a Commercial Legal Counsel to join our high performing and ambitious in-house legal team. Our team benefits from a diverse and challenging workload supporting those at all levels within our business teams with pragmatic, adaptable, solution-orientated and commercial legal advice.

Your key responsibilities:
The work within the EY Ireland Legal team is highly varied and covers all legal issues arising from the running of a professional services business. Much of the legal work is at the cutting edge of business practice as the firm constantly finds innovative ways to help our clients' businesses.

This in-house role includes:

Commercial:

  • Advising on, drafting and negotiating client contracts, such as engagement agreements Master Services Agreements and Global Framework Agreements with our clients as well as other complex contractual arrangements pursuant to which we provide an ever more diverse range of services
  • Technology, Software and Licensing agreements
  • Advising on intellectual property matters
  • Subcontracts, where EY is subcontractor
  • Collaboration agreements
  • Managed services and outsourcing agreements
  • Government and public sector agreements
  • Advising on tenders and RFP responses
  • Advising on, drafting and negotiating contracts with suppliers

Regulatory:

  • Advising on data privacy, AI, DORA and regulatory matters.

General:

  • Providing legal advice to the firm's service lines and its other internal support functions such as real estate and facilities, procurement, finance, HR, IT, knowledge and marketing, providing training and guidance to service line colleagues on legal and contractual issues, developing contract templates, policies and guidance and the opportunity to be the legal lead on firm-wide projects.

The Opportunity

An opportunity has arisen for a Legal Counsel position on the Glanbia Group Legal team based in Citywest, Dublin or Kilkenny City reporting to the General Counsel. You will work closely with the business to reduce legal risks and improve commercial position through negotiation of legal agreements, managing legal disputes and advising on compliance with legal requirements.

This is a permanent opportunity reporting into the General Counsel.

Responsibilities

  • Provide strategic legal advice and commercial guidance on a broad range of legal and contractual issues in a dynamic international environment
  • Review, draft and negotiate strategic legal agreements (including for the manufacture, development, supply, and distribution of products, vendor contracts for procurement and outsourcing of services and IT solutions). Advise on enforcement of contractual terms around termination, exclusivity, restrictive covenants and potential warranty / indemnity claims
  • Identify risks and provide practical legal advice on a broad range of areas including data protection/privacy, intellectual property, competition law, anti-money laundering and some employment / HR related matters
  • Manage and oversee any legal disputes, litigation, working closely with external legal counsel as necessary
  • Assist in managing the Group's intellectual property portfolio, including trademarks and patents. Advise on ownership, use and potential infringement activities
  • Participate in corporate M&A work including legal due diligence, drafting and negotiating purchase contracts, advising on integration issues post completion
  • Advise on legal aspects of on-going Project Work relating to business integration, rationalisation and optimisation
  • Assist with on-going updates to Glanbia company policies and provide training to internal business units

The Skills you will bring to the team

  • Law or Business Degree with a Professional Legal Qualification (Solicitor or international equivalent)
  • 5 years PQE either in a large / mid tier firm or in-house in a multi-national business
  • Have strong drafting, negotiating and communication skills
  • Have solid experience in commercial law gained in a fast paced dynamic environment, previous experience in a multinational corporation would be an advantage
  • Commercial Litigation experience is desirable
  • Intellectual Property experience is also desirable
  • Be able to work on own initiative and be motivated to deliver the legal department's value added agenda
  • Be able to multi-task and use a systematic and analytical approach to identifying issues and problem solving with the ability to prioritise tasks effectively.
