What you'll be doing- Managing effective due diligence processes as seller and management of disclosure letters.
- Advising on acquisitions, disposals, leases, licenses, asset management queries and development of commercial property and commercial transactions including share sales and business sales.
- Providing advice to the business across a broad spectrum of legal issues (including but not limited to commercial, employment, competition law).
- Preparing and negotiating transaction-related agreements such as confidentiality agreements, heads of terms, etc., and reviewing and negotiating transactional documents developed by external lawyers.
- Advising and providing guidance to the business on all required transactional documents.
- Effective project management of caseload.
- Attending to governance-related issues to allow transactions to move to completion.
- Maintaining up-to-date records and filing of executed documents.
- Managing external legal advisors and legal budgets.
- Maintenance of legal trackers and reporting to and managing relevant stakeholders.
- Commercial contract drafting and negotiation, including drafting and modifying standard form documentation for use in transactions.
- Responsibilities will primarily be provided to the Retail Business Unit; however, support may be required across the Musgrave Group from time to time as the needs of the business require.
- Have a minimum of 5 years qualification in private practice/in-house.
- Strong knowledge/working experience of Irish property law (in particular landlord and tenant law) and conveyancing procedures.
- Experience or exposure to construction and commercial law.
- Experience working in-house or with corporate clients is an advantage.
- Have a strong skillset which includes: project management, communication, presentation, engagement, drafting, negotiation, time management and influencing skills, strong stakeholder management and being solution driven.
- Good general IT skills with an ability to manage data rooms and familiarity with AI tools an advantage.
- The ability to manage a varied workload; actively manage external legal providers; work in an extremely fast-paced environment; deliver within tight deadlines; and work within a team.

Role Purpose:
Working as Legal Counsel you will work with the Senior Legal Counsel and Legal Counsel in our Corporate Services Department to provide essential legal and compliance support to the organisation and its group companies.
Responsibilities:
- General: Centrally involved in significant legal issues, transactions and litigation and managing complex legal matters, recognising when escalation is required to the Senior Legal Counsel and other key stakeholders. Keeping up to date with changes in legislation to ensure compliance.
- Advice: Providing quality legal and commercial advice in relation to complex issues across the organisation, e.g. advice in relation to company law, data protection law, charity law, employment law and commercial best practice.
- Contracts (including Data Processing Agreements): Drafting, reviewing, amending, and negotiating contracts with Concern's partner organisations and suppliers and advising stakeholders in relation to key obligations and potential risks arising from contracts.
- Governance: Providing support to the Company Secretary and Assistant Company Secretary of Concern Worldwide and group companies on legal issues. Assisting the Senior Legal Counsel with regular governance reviews to verify that governance structures are up to date, integrated and operating effectively, e.g. intra-group legal arrangements, governing documents.
- Data Protection: Provide data protection legal advice and support to stakeholders.
- Estates/Legacies: Assisting with managing and advising on any complex issues that arise in legacy cases where Concern is a beneficiary.
- External Advice: Acting as the primary point of contact with external lawyers if external advice is necessary. Preparing legal briefs for external lawyers and managing the ongoing provision of external advice.
- Resources: Improving internal resources and tools for stakeholders, e.g. template contracts, legal guidance.
- Other: Providing support to the Senior Legal Counsel and the Chief Operations Officer on a number of ad-hoc projects.
